Abstract：Research purposes: In recent years，the BT mode has been widely used for the infrastructure projects and the public utility projects，but up to now there is no special law on standardization and regulation of application of BT mode because its specificity of the legal theory is not well aware of，so the legal disputes and problems easily arise in the application． It is of the great significance for the construction enterprise to researching the legal problems in investing and financing for the BT project．
Research conclusions: For guaranteeing the quality and actual effect of the BT project，the government departments should adopt more flexible and wider competition modes for granting BT project． The government departments should grant the BT project to the high － qualified，perfect overall strength and good reputation enterprises by adopting many ways，especially adopting the bidding way． The state should issue the special law on standardization and regulation of the legal problems in application the BT mode．
